Terms of Service

Baton is pre-launch. These terms govern this website and the invited pilot programme. A fuller customer agreement, together with a data-processing agreement, will apply to paid subscriptions and will be provided before any academy goes live.

1 Acceptance

These Terms of Service (“Terms”) are a legal agreement between you and Arokiadas Management and Services Private Limited (incorporation in progress), of Bengaluru, Karnataka, India (“Baton”, “we”, “us”). By using this website, or by taking part in the Baton pilot programme, you agree to these Terms. If you do not agree, do not use the site or the service.

2 What Baton is

Baton is an operations and compliance platform for sports and coaching academies in India. It is in active development. Features described on this website represent the planned platform; not all are available yet, and specifics may change before general release.

3 Eligibility and authority

You must be at least 18 years old to use the service. If you use Baton on behalf of an academy or other organisation, you confirm that you are authorised to accept these Terms for that organisation, and “you” then means that organisation.

4 Accounts

  • You are responsible for the accuracy of the information in your account and for all activity that happens under it.
  • Keep your credentials confidential. Tell us promptly at contact@batonstack.com if you believe an account has been compromised.
  • You are responsible for the users you invite and the access levels you grant them.

5 The pilot programme

  • The pilot is offered to a small number of invited academies to trial the platform and shape it.
  • No subscription fee applies during the pilot. Any data-migration or set-up service is quoted and agreed separately.
  • The pilot is provided on an “as is” basis and may change as the platform develops.
  • Either party may end the pilot on reasonable notice. On exit, you may export your data (section 8).

6 Fees and billing

When paid subscriptions become available, they will be priced by active student count, billed through our payment provider, and subject to Goods and Services Tax at the applicable rate. Prices, plans and payment terms will be set out in the customer agreement that applies to your subscription. Nothing on this website is an offer to sell at a stated price.

7 Acceptable use

You agree not to:

  • use the service unlawfully, or to process data you have no lawful basis to process;
  • upload malware, attempt to breach security or tenant isolation, or probe the service without our written permission;
  • reverse engineer, resell or provide the service to third parties except as expressly permitted;
  • use the service to send unsolicited messages in breach of applicable law or platform rules;
  • interfere with or place an unreasonable load on the infrastructure.

8 Your data and privacy

  • You own the data you put into Baton. We process it to provide the service, on your instructions, and as described in our Privacy Policy.
  • For personal data of your students, parents and staff, you are the Data Fiduciary and Baton is your Data Processor. A data-processing agreement forms part of the customer agreement.
  • You can export your data at any time in a common format.
  • You are responsible for having the notices and consents your own use of the platform requires — Baton provides the tools to capture and record them.

9 Intellectual property

Baton, the Baton name and logo, the platform, and all software and materials we provide are owned by Arokiadas Management and Services Private Limited and its licensors. These Terms grant you a limited, non-exclusive, non-transferable right to use the service during your pilot or subscription. We may use aggregated, de-identified information about how the service is used to operate and improve it.

10 Availability and changes

During the pilot there is no guaranteed uptime or service level. We may add, change or remove features, and we may carry out maintenance that makes the service temporarily unavailable. We will give reasonable notice of significant changes where we can.

11 Disclaimers

The service is provided “as is” and “as available”. To the extent permitted by law, we disclaim all implied warranties. Baton helps you keep records and prepare filings; it is not a substitute for professional accounting, tax or legal advice, and you remain responsible for your own statutory compliance and for reviewing what the platform produces.

12 Limitation of liability

To the extent permitted by law, neither party is liable for indirect, incidental, special or consequential loss, or for loss of profits, revenue or goodwill. During the pilot, where no fee is paid, our total aggregate liability arising out of or in connection with the service is limited to INR 10,000. Once a subscription fee is paid, the limit will be the amount you paid us in the 12 months before the claim, as set out in the customer agreement. Nothing in these Terms limits liability that cannot be limited by law.

13 Suspension and termination

  • You may stop using the service at any time.
  • We may suspend or end access if you materially breach these Terms, if required by law, or to protect the service or other customers — we will tell you why and, where practical, give you a chance to fix the problem first.
  • On termination you may export your data; after a reasonable retention window it is deleted, subject to records we must keep by law (see the Privacy Policy).

14 Governing law and disputes

These Terms are governed by the laws of India. The courts at Bengaluru, Karnataka have exclusive jurisdiction, subject to any right you have under law to bring proceedings elsewhere. The parties will try in good faith to resolve any dispute informally first.

15 Changes to these terms

We may update these Terms as the platform develops. Changes are posted here with a new version number and date. If you are in the pilot or under a subscription, we will notify you of material changes directly; continuing to use the service after a change means you accept it.
